1 Governing Law

2. Scope of Services
Babylon Procurement agrees to provide procurement services to the Client, which may include but are not limited to:
· Sourcing of building materials and products.
· Negotiating prices and terms with suppliers.
· Coordinating logistics and delivery of products.
· Providing advice and recommendations on product selection.
3. Suppliers
We work with a network of suppliers across New South Wales to ensure the availability and quality of materials for our clients. While we strive to select reputable suppliers, we cannot guarantee the actions or performance of third-party suppliers. Babylon Procurement shall not be held liable for any issues arising from the actions or products of our suppliers.
4. Payment
Payment is required before Babylon Procurement places orders with suppliers on behalf of clients. Clients will be provided with an invoice detailing the cost of materials, services, and any applicable fees. Payments must be made in accordance with the terms outlined in the invoice.
5. Cancellation
In the event of cancellation or termination of services by the client, any costs incurred up to the date of cancellation by Babylon Procurement shall be invoiced and payable by the client.
6. Client Responsibilities
Clients are responsible for providing accurate and complete information regarding their procurement requirements. This includes specifications, quantities, delivery preferences, and any other relevant details. Babylon Procurement relies on the information provided by clients to fulfill orders efficiently and accurately.
7. Delivery and Returns
While Babylon Procurement facilitates the procurement process, delivery and returns are handled directly by the suppliers. Clients are responsible for inspecting delivered goods and addressing any discrepancies or issues directly with the supplier. Babylon Procurement may assist clients in coordinating returns or exchanges as needed.
8. Confidentiality
Babylon Procurement respects the confidentiality of client information and will not disclose any sensitive or proprietary information without the client's consent. Likewise, clients agree to keep confidential any proprietary information shared by Babylon Procurement during the course of our business relationship.
9. Limitation of Liability
To the fullest extent permitted by law, Babylon Procurement shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in any way connected with our services, including but not limited to procurement delays, product defects, or supplier issues.
10. Amendments
Babylon Procurement reserves the right to modify or update these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on our website or notifying clients directly. Continued use of our services after such modifications shall constitute acceptance of the revised Terms.
